These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Neskome LLC ("Company," "we," "us," or "our"), a limited liability company registered at 30 N Gould St Ste N, Sheridan, WY 82801 (EIN: 42-2082724). By accessing our website at https://neskome.com/ or subscribing to any of our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Site or our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, you must not access or use the Site or our services.

2. Services

Neskome LLC provides subscription-based digital marketing and technology services including, without limitation, digital strategy consulting, search engine optimization (SEO), content marketing, web development, social media management, paid advertising management, and analytics reporting ("Services").

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

3. Subscriptions and Billing

Certain features of our Services are available only through a paid subscription. By subscribing, you agree to the following:

  • Billing Cycle: Subscriptions are billed monthly, in advance, at the beginning of each billing period.
  • Payment Authorization: By providing payment information, you authorize us (via Stripe, Inc., our payment processor) to charge the applicable subscription fee to your designated payment method on a recurring basis.
  • Price Changes: We reserve the right to change subscription prices at any time, with at least 30 days' notice. Your continued use of the Services after a price change constitutes acceptance of the new pricing.
  • Taxes: All fees are exclusive of applicable taxes, levies, and duties. You are responsible for paying all applicable taxes associated with your subscription.

4. Cancellation

You may cancel your subscription at any time by contacting us via the contact form on our website. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Services until that date. No partial refunds are issued for unused portions of a billing cycle, except as specified in our Refund Policy.

5. Intellectual Property

The Site and its original content, features, and functionality are and will remain the exclusive property of Neskome LLC and its licensors. Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service without the prior written consent of Neskome LLC.

Upon full payment, clients are granted a non-exclusive, non-transferable license to use deliverables (such as web pages, content, and reports) produced under a service engagement solely for their own business purposes. All proprietary methodologies, templates, tools, and frameworks used in producing deliverables remain the exclusive property of Neskome LLC.

6. User Representations

By using the Site, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update it as necessary.
  • You have the legal capacity and agree to comply with these Terms.
  • You are not a minor in the jurisdiction in which you reside (must be at least 18 years old).
  • You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise.
  • You will not use the Site for any illegal or unauthorized purpose.
  • Your use of the Site will not violate any applicable law or regulation.

7. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material, that interferes with any party's uninterrupted use and enjoyment of the Site.
  • Use the Site in a manner inconsistent with any applicable laws or regulations.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NESKOME LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not guarantee specific results from our digital marketing services. Results may vary depending on factors beyond our control, including but not limited to market conditions, search engine algorithm changes, and the quality of your products or services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NESKOME LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF NESKOME LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NESKOME LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO NESKOME LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Neskome LLC and its officers, members, agents, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Content, any use of the Site's content and services other than as expressly authorized in these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising under or related to these Terms shall be resolved exclusively by the state or federal courts located in Sheridan County, Wyoming, and you hereby consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 14 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
